These Terms of Service (the "Terms of Service") govern your access to and use of the Portals operated, administered, and managed by OffGamers, together with the Services made available through them. Unless OffGamers expressly provides otherwise, all Portals introduced, administered, or managed by OffGamers are governed by these Terms of Service.

In these Terms of Service, "OffGamers", "we", "us", or "our" refer to OffGamers Global Pte. Ltd.

These Terms of Service apply to users located in the Republic of Singapore and to users worldwide, save that they do not apply to users located in Malaysia, whose access to and use of the Services are governed by a separate terms of service issued by OffGamers for Malaysia.

By registering an Account with OffGamers, or by accessing or continuing to use the Portals or the Services, you acknowledge that you have read and understood these Terms of Service and agree to be bound by them. You further agree to be bound by any additional guidelines, procedures, specific rules, and terms and conditions applicable to the products, services, or facilities offered by OffGamers, as determined or amended by OffGamers at any time and from time to time at its sole discretion. All such guidelines, procedures, rules, and terms and conditions are incorporated into and form part of these Terms of Service by reference. If you do not agree to these Terms of Service, you must not access or use the Portals or the Services.

OffGamers maintains a knowledge base of articles, help-desk guidance, policies, and product-specific rules, currently accessible at https://helpdesk.offgamers.com/support/solutions (the "Knowledge Base"). The Knowledge Base is incorporated into and forms part of these Terms of Service by reference. Where there is any inconsistency between two or more Knowledge Base articles, the most recently published and/or updated article prevails. Where there is any inconsistency between the Knowledge Base and the body of these Terms of Service, these Terms of Service prevail unless the relevant Knowledge Base article expressly states that it overrides these Terms of Service in respect of a specific product, service, or facility.

1. In these Terms of Service, unless the context otherwise requires, the following words and expressions have the following meanings:

   1. Account: means the account registered by you with OffGamers to facilitate your access to and use of the Services available on the Portals or any of them;
   2. AI: means artificial intelligence;
   3. Applicable Law: means all laws, regulations, rules, directions, guidelines, codes, and orders of any governmental, regulatory, or judicial authority that apply to OffGamers, to you, or to the access to or use of the Portals or the Services;
   4. CD Key: means a code comprising letters and numbers, whether printed on a card, sticker, or disc included with a game's packaging, or delivered electronically, usually included in the purchase receipt for online purchases where no physical media is delivered;
   5. Digital Goods: means digitised content, including vouchers, CD Keys, Gift Cards, Time Cards, Expansions, Game Points, Pre-paid Cards, Trial/Beta/Item Codes, Game Keys, softpin, and any related features and functionality;
   6. Expansion: means an expansion to a particular Game;
   7. Game: means a video game or online game in respect of which OffGamers makes Digital Goods or Services available on the Portals;
   8. Game Key: means an activation key comprising letters and numbers for a particular Game;
   9. Game Points: means a game currency that may be spent within a particular Game to acquire items or services;
   10. Gift Card: means an electronic gift card purchased on any of the Portals which carries a stored value available for redemption on the Portals;
   11. Knowledge Base: has the meaning given to it above;
   12. OffGamers Points: means the loyalty points awarded to you by OffGamers in respect of the purchase of goods or services on the Portals, and includes any other description used for such points from time to time;
   13. Parties: means OffGamers and you collectively, and "Party" means either of them;
   14. Portals: means, collectively, the web portals presently known as OffGamers.com, together with any other web portals, applications, or platforms introduced, administered, or managed by OffGamers from time to time;
   15. Pre-paid Card: means any card the value of which you have paid for and loaded onto that card;
   16. Services: means the services provided by OffGamers on the Portals, including, without limitation, the publishing, reselling, and retailing of online Games, Digital Goods, and related merchandise;
   17. Store Credit: means the electronic credit value available in the Account from time to time;
   18. Time Card: means a type of voucher that allows a player to activate or renew subscription time for a particular Game; and
   19. Trial/Beta/Item Code: means an activation key used to access a particular Game or online service for a limited time.
   20. you or your: means the natural or legal person who accesses or uses the Portals or the Services, or who registers or holds an Account.

   In these Terms of Service, unless the context otherwise requires:

   1. the singular includes the plural and vice versa;
   2. a reference to a clause is a reference to a clause of these Terms of Service;
   3. headings are for convenience only and do not affect interpretation; and
   4. the words "including", "includes", and "in particular" are without limitation.

2. Each time you access the Portals or any of them, you irrevocably and unconditionally represent and warrant to OffGamers that:

   1. you have attained the age of majority or legal capacity to contract in the jurisdiction in which you are located, or, if you have not, your parent or legal guardian has read and agreed to these Terms of Service on your behalf and is bound by them;

   2. your access to and use of the Portals and the Services do not and will not contravene any Applicable Law in any jurisdiction, and do not require OffGamers to obtain any additional licence, registration, or authorisation, or to become subject to any additional regulatory requirement, in any jurisdiction;

   3. all information and documentation you submit to OffGamers, including your full name, telephone number, correspondence address, and email address, are true, accurate, current, and complete, and you will promptly notify OffGamers in writing of any change to such information; and

   4. you are not a person with whom OffGamers is prohibited from dealing under any Applicable Law, including any sanctions, anti-money laundering, or counter-terrorism financing law referred to in Clause 18.

   OffGamers may, at its sole discretion, and without assigning any reason, refuse to make the Services available to any person, or permit or decline access to the Portals or any Account, at any time. OffGamers will notify you of any such refusal by email or by any other form of communication it considers appropriate.

3. In consideration of your agreement to, and continued compliance with, these Terms of Service, OffGamers grants you a revocable, non-exclusive, non-transferable, non-sublicensable, and non-commercial licence to access the Portals and use the Services in accordance with, and subject to, these Terms of Service.

   Neither the Portals nor the Services, nor any part of them, may be reproduced, duplicated, copied, downloaded, sold, resold, framed, scraped, data-mined, visited, or otherwise exploited for any commercial purpose without the express prior written consent of OffGamers. Any unauthorised use immediately terminates the licence granted under this Clause 3, without prejudice to any other right or remedy available to OffGamers.

4. • Account required. A valid Account is a pre-requisite to accessing and using the Services and the Portals. You may be required to verify your details, including by providing your name and mobile number, in order to receive a security token that allows you to access the Portals, to remain logged in, and to maintain a valid payment method associated with your Account.
   • Keep your password safe. You are solely responsible for keeping the password and any credentials to your Account secure and confidential. You must not, under any circumstances, reveal or disclose your password or credentials to any unauthorised person, and you must take all reasonable steps to prevent such disclosure.
   • Instructions from your Account are binding. You are solely responsible for securing the information in and access to your Account. Any notification, instruction, or confirmation received by OffGamers through your Account is deemed to have been issued by you, and is binding on you, notwithstanding that it may have been issued by a third party, whether authorised or not. OffGamers is entitled to act on any such notification, instruction, or confirmation without any obligation to investigate its authenticity, the authority of the person effecting it, or its completeness, and any such notification, instruction, or confirmation is deemed irrevocable and binding on you upon receipt by OffGamers, notwithstanding any error, fraud, forgery, lack of clarity, or misunderstanding.
   • Report a compromised Account immediately. You must immediately notify OffGamers if you know or suspect that your Account has been hacked, compromised, or accessed without authorisation. You remain liable for all transactions conducted through your Account before OffGamers actually receives such notice. Upon receipt of such notice, OffGamers may suspend the Services to you pending the conclusion of its investigations.

   • KYC, KYB, and Account freezes. OffGamers may, at its sole and absolute discretion, and as it considers necessary or appropriate (including where required or permitted by Applicable Law, where directed or requested by any competent authority, where OffGamers suspects fraud, abuse, unauthorised access, chargeback risk, money laundering, terrorism financing, sanctions exposure, or any breach of these Terms of Service, or for the purpose of protecting OffGamers, its users, or any third party), do any one or more of the following at any time, with or without prior notice to you:

     1. conduct "Know Your Customer" ("KYC") and, in the case of any business, corporate, or reseller user, "Know Your Business" ("KYB") checks and ongoing due diligence, whether directly or through an authorised third-party service provider, including electronic verification ("eKYC");

     2. require you, and any person related to or connected with you or your Account, to provide such identification, verification, source-of-funds, beneficial-ownership, corporate, and other documents and information as OffGamers may specify, in such form and manner, and within such time, as OffGamers may require, and to update, re-verify, or re-submit any such document or information from time to time;

     3. place a hold or freeze on your Account, on any Store Credit, Digital Goods, OffGamers Points, balances, or funds in or associated with your Account, or on any transaction, order, payment, or withdrawal, and pause, delay, decline, or reverse any transaction, pending completion of any check, verification, or investigation to OffGamers' satisfaction; and

     4. suspend, restrict, limit, freeze, close, or terminate your Account or your access to the Portals or the Services, in whole or in part.

   • Verification is an ongoing condition. Your continued access to and use of the Portals and the Services is at all times conditional upon OffGamers' satisfactory completion of its KYC, KYB, and related checks in respect of you and any related or connected person, as determined by OffGamers at its sole discretion. You agree to co-operate fully and promptly with OffGamers and its designated service providers, and to provide the requested documents and information when prompted. If you fail or decline to complete any such check, or to provide any requested document or information to OffGamers' satisfaction, OffGamers may decline, cancel, freeze, or reverse the relevant transaction and may suspend, freeze, close, or terminate your Account, and, where a payment has been made in respect of a cancelled transaction, OffGamers may (at its option and without any obligation to do so) refund that payment, whereupon the transaction will be cancelled accordingly.
   • Consequences of a freeze or suspension. Without prejudice to the foregoing, and in addition to any other right or remedy available to OffGamers, any freeze, suspension, closure, or termination of your Account under this Clause 4 may give rise to further consequences under these Terms of Service, including the forfeiture of any Store Credit, OffGamers Points, and other balances or credit in or associated with your Account, and the lapse or cancellation of any Digital Goods, order, or entitlement held in or through your Account, in each case to the extent permitted by Applicable Law.
   • No liability for actions under this Clause. OffGamers is not liable for acting, or declining to act, on any notification, instruction, confirmation, or transaction in accordance with this Clause 4, or for any freeze, hold, delay, suspension, closure, termination, or forfeiture effected under it.

5. • Your own equipment and costs. You must procure, at your own cost and expense, the equipment, software, and connectivity required to access the Portals and use the Services, and you are responsible for all charges and fees imposed by third parties in connection with such access.
   • Follow our guidelines. You acknowledge that it is your primary responsibility to acquaint yourself with the guidelines, procedures, and Knowledge Base articles applicable to the Services, which are incorporated into and form part of these Terms of Service by reference and may be updated by OffGamers at its sole discretion from time to time.

   • Prohibited conduct. In accessing and using the Portals and the Services, you must not, directly or indirectly:

     1. use the Services for any commercial purpose, except as expressly permitted by OffGamers in writing;

     2. conduct or facilitate any fraudulent, immoral, or unlawful activity, or any activity that infringes the intellectual property rights or other rights of any third party;

     3. upload, post, email, transmit, or otherwise make available any unauthorised or unlawful content on the Portals, or directly to other users of the Portals, without the prior written permission of OffGamers;

     4. upload, post, email, transmit, or otherwise make available any material containing software viruses or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment, including the Portals;

     5. use any intellectual property belonging to OffGamers or to any publisher listed on the Portals, including any trademark or trade name, whether registered or not, without the prior written consent of OffGamers;

     6. be disruptive, offensive, or a nuisance in any manner to other users of the Portals or to the employees of OffGamers;

     7. recruit, solicit, or poach any customer, user, or supplier obtained through the use of the Portals; or

     8. circumvent, disable, or otherwise interfere with any security-related feature of the Portals, or any feature that restricts or enforces limitations on the use of the Portals or the Services.

   • Misdirected information. If you receive any incomplete, garbled, or inaccurate data or information from OffGamers, or any data or information not intended for you, you must immediately notify OffGamers, treat such data or information as confidential, delete it from your Account and systems, and not disclose it to any third party. Your confidentiality obligations under this Clause 5 survive the termination of these Terms of Service.
   • OffGamers' discretion to grant access. You acknowledge and agree that OffGamers may, at its sole discretion, refuse or permit your use of the Services at any time, and that OffGamers may send to your Account updates on the services and events offered or provided by OffGamers.

6. The value of Digital Goods reflected in the Account does not represent any credit value in real currency, and Digital Goods cannot be exchanged for cash.

   Except as expressly permitted by OffGamers in writing, you must not sell, transfer, assign, or otherwise dispose of any Digital Goods to any other person, whether within or outside the Portals or any of them.

7. • Check your order before you pay. You must input all relevant information on the product page, including quantity, product region, and server type. The final amount payable, including all applicable fees and taxes, is displayed on the Portals before you proceed to the payment page. If you consider the final amount to be incorrect, you may elect not to proceed with the purchase. You are encouraged to review your order details carefully before finalising any purchase to ensure accuracy.
   • Your responsibility for accuracy. You must read the product description thoroughly and confirm that the Game name, server, account name, and quantity purchased are correct before completing a purchase. OffGamers assumes no liability for any purchase made in error, or arising from any negligence or false, wrong, or incomplete information provided by you, which may result in loss or damage. By purchasing any product from OffGamers, you understand, acknowledge, and accept this release of liability.
   • No subscriptions. OffGamers does not offer any subscription-based or recurring-payment Services. All payments made to OffGamers are for one-time purchases only, across all product categories, including OffGamers Gift Cards, softpin, and direct top-up.
   • Currency and taxes. You may pay for the Services in such currency as is available on the Portals, at the prevailing exchange rate determined by OffGamers at its sole discretion. You are solely liable for all payments, and for all applicable taxes, duties, and levies, in connection with your use of the Services through the Account.
   • OffGamers may cancel or change payment methods. OffGamers may, at its sole discretion and without assigning any reason, cancel any payment request made by you. OffGamers may also vary, modify, or remove the modes of payment available on the Portals at any time without prior notice, provided that any payment accepted for an order that is in processing before the removal of the affected payment mode will be completed.
   • Correcting billing mistakes. As part of, or separate from, its dispute-handling process, OffGamers may determine that a mistake affecting you has occurred. If OffGamers determines that you have been incorrectly charged or overcharged, it will credit your Account or otherwise arrange a refund to rectify the mistake. If OffGamers determines that you were not charged when you should have been, or were undercharged, OffGamers may debit or charge your Account, or otherwise collect payment from you, to rectify the mistake.
   • Chargebacks. You must not initiate any chargeback, payment reversal, or dispute with any card issuer, bank, or payment provider in respect of any transaction, other than for a payment that is genuinely unauthorised or fraudulent, and only after you have first contacted OffGamers and given it a reasonable opportunity to resolve the matter. Without prejudice to any other right or remedy, OffGamers may suspend or freeze your Account, withhold delivery, and recover from you any sum charged back together with any related fees, costs, and expenses (including administrative charges) incurred by OffGamers, where you initiate a chargeback in breach of this Clause 7 or where OffGamers reasonably determines that a chargeback is illegitimate or abusive.
   • Need help? If you encounter any difficulty, please contact OffGamers technical support for assistance.

8. • Digital Goods are generally non-refundable. Unless otherwise expressly specified by OffGamers, any Digital Goods purchased into the Account are non-refundable, non-transferable, and non-exchangeable once delivered.
   • Exceptions for faulty or damaged goods. OffGamers may, at its sole and absolute discretion, consider a refund or exchange request in exceptional cases, such as where the Digital Goods purchased are found by OffGamers, at its sole and absolute discretion, to be faulty or damaged.
   • Six-month time limit. You must submit any request in respect of faulty or damaged Digital Goods to OffGamers.com within six (6) months from the date of purchase. Failure to do so automatically forfeits your right to any refund or exchange.

9. • No uptime guarantee. The Services are usually available on a daily basis, unless otherwise specified. OffGamers gives no warranty that the Services will be available at any particular time.
   • Maintenance and changes. The Services may be unavailable from time to time owing to maintenance, malfunction of the Portals, or other causes beyond OffGamers' reasonable control. OffGamers may, at its sole discretion and at any time, change the procedures and mode of operation of the Services for any reason.
   • OffGamers may restrict or suspend the Services. Notwithstanding anything to the contrary in these Terms of Service, OffGamers may at its sole discretion, at any time and without prior notice: (a) terminate, discontinue, withdraw, or suspend your use of the Services; or (b) impose conditions or restrictions on your use of the Services.
   • Inactive Accounts. If you do not use the Services for a continuous period of three (3) months, OffGamers may, at its sole discretion, charge a reasonable fee for the maintenance of your Account.

10. • Using Store Credit. To use Store Credit, you must maintain sufficient Store Credit in the Account before using the relevant Services. Store Credit may be topped up in the Account through the payment methods listed on the Portals, and may be used to purchase any of the Services or Digital Goods.
    • Insufficient balance. If there is insufficient Store Credit when you purchase any Services, OffGamers may, at its sole discretion, either: (a) reject or suspend the transaction; or (b) require you to pay the shortfall through any other payment method available on the Portals.
    • Changes to Store Credit. OffGamers may, as and when it considers appropriate, amend, modify, remove, or add any Store Credit or Store Credit facility without prior notice to you.
    • Expiry and refund on closure. Store Credit automatically expires, without prior notice, on the last day of the second (2nd) year from the date on which it was first credited into the Account, or within such other period as OffGamers may determine. When the Account is closed, Store Credit will no longer be accessible to you, and any remaining balance of Store Credit will be refunded, subject to Clauses 4 and 18 and to any set-off under Clause 22.

11. • Redeeming a Gift Card. Each Gift Card must be redeemed in a single transaction by purchasing Services on any of the Portals. A Gift Card has a set value and cannot be used to purchase another Gift Card. Each Gift Card is non-transferable and cannot be exchanged for cash.
    • Value differences. If the transaction value is less than the Gift Card value, the excess will be credited into the Account as Store Credit. If the transaction value exceeds the Gift Card value, you must settle the shortfall using Store Credit available in the Account or any other payment method available on the Portals.
    • Lost or misused Gift Cards. OffGamers is not liable for any Gift Card that is stolen, misplaced, lost, damaged, or misused without authorisation, or for any loss or damage suffered by the holder of a Gift Card arising from or in connection with such loss, damage, or misuse. For the avoidance of doubt, OffGamers is not obliged to enquire into or verify, at the time of redemption, whether a Gift Card has been properly obtained.
    • Suspicious Gift Cards. If OffGamers has any doubt as to the authenticity of a Gift Card, or if a Gift Card is fraudulently obtained or used as a means of payment for unsanctioned or unauthorised services, OffGamers may, at its sole and absolute discretion and without prior reference to you, withhold, suspend, cancel, deactivate, or disable that Gift Card.
    • Further rules and expiry. Each Gift Card is subject to such further rules and regulations as OffGamers may introduce from time to time, and automatically expires, without prior notice, on the last day of the second (2nd) year from the date on which it was first purchased, or within such other period as OffGamers may determine.

12. • Earning and redeeming Points. You may be rewarded with OffGamers Points for purchases of goods or services on the Portals, and may redeem OffGamers Points for goods or Services on the Portals. The number of OffGamers Points required for any redemption is as stated on the Portals.
    • Further rules. The award and redemption of OffGamers Points are subject to such further rules and regulations as OffGamers may introduce from time to time. OffGamers Points cannot be exchanged for cash.
    • Expiry and forfeiture. OffGamers Points automatically expire, without prior notice, on the last day of the second (2nd) year from the date on which they were first awarded to you, or within such other period as OffGamers may determine. OffGamers Points are forfeited when an Account is closed, and cannot be reinstated or redeemed after closure.

13. • No physical component. Softpin and similar Digital Goods do not include any manual, installation disc, box, physical card, or other physical element. You will be able to view your code or codes on your order-history page after your order is completed.
    • Pre-order refunds. A refund on a pre-order item is available only up to two (2) weeks before the product's release, and this does not apply to a pre-order of a CD Game Key. Once the product is released, no refund, transfer, or exchange is permitted.
    • Accuracy of your order. Once you complete a purchase of any pre-order item, CD Key, Time Card, Expansion, Game Points, Pre-paid Card, Trial/Beta/Item Code, Game Key, or softpin from OffGamers, you confirm that all information you have entered is accurate and correct.
    • Non-refundable, with limited exceptions. Any CD Key, Gift Card, Time Card, Expansion, Game Points, Pre-paid Card, Trial/Beta/Item Code, Game Key, or softpin purchased into the Account is neither refundable nor exchangeable, save that OffGamers may, at its sole and absolute discretion, consider a refund or exchange request in exceptional cases where such Digital Goods are found by OffGamers to be faulty or damaged. You must submit any such request to OffGamers.com within six (6) months from the date of purchase, failing which your right to any refund or exchange is automatically forfeited. OffGamers may amend the terms of this Clause 13 without prior notice.

14. • Third-party intellectual property. All copyrights, trademarks, and service marks in the Games and related content belong to their respective owners or publishers. OffGamers is not related to or associated with any such owner or publisher. All Services offered on the Portals are offered by OffGamers, and not by such owners or publishers directly.
    • OffGamers' own intellectual property. All copyrights, trademarks, service marks, and other intellectual property rights owned or used by OffGamers in providing the Services belong solely to OffGamers or its licensors and remain the property of OffGamers or its licensors. Except as expressly authorised by these Terms of Service, you have no right, title, or interest in or to such intellectual property rights.
    • Restrictions on use. You must not, without the express written permission of OffGamers (or of its supplier or licensor, where applicable), in any form or by any means, adapt, reproduce, modify, display, perform, publish, distribute, disseminate, broadcast, circulate, or create derivative works from any intellectual property of OffGamers. Neither these Terms of Service nor your use of the Services conveys or grants you any right: (a) in relation to the Services, except for the limited licence granted under Clause 3; or (b) to use or reference, in any manner, the company name, brand, logo, product or service names, or trademarks or service marks of OffGamers or of its licensors.

15. You acknowledge that all transactions conducted on the Portals are effected through telecommunications and data networks and may be subject to disruption owing to technical malfunction, defect, or problem attributable to, or connected with, a network provider.

    You acknowledge that your receipt of a notification from OffGamers, and OffGamers' receipt of a notification from you, may be delayed or prevented by factors affecting the relevant service providers and other parties, and that OffGamers cannot guarantee the prompt delivery of any notification or confirmation.

    You acknowledge and agree that you must take all steps and measures to check and verify the transaction history of your Account.

16. OffGamers collects, uses, discloses, and processes your personal data in accordance with, among others, the Personal Data Protection Act 2012 of Singapore and its OffGamers Privacy Policy, currently accessible on the Portals, which is incorporated into and forms part of these Terms of Service by reference. By accessing or using the Portals or the Services, you consent to the collection, use, disclosure, and processing of your personal data in accordance with the OffGamers Privacy Policy.

    You consent to OffGamers collecting, verifying, and processing your personal data and documentation, and disclosing them to third-party service providers, for the purpose of the KYC, KYB, eKYC, and due-diligence checks referred to in Clause 4 and the compliance obligations referred to in Clause 18.

17. You irrevocably and unconditionally consent to, and authorise, OffGamers, to the extent permitted by Applicable Law, disclosing or releasing any information relating to you or your transactions on the Portals, to such extent as OffGamers considers appropriate, to:

    1. any person to whom OffGamers is required to make disclosure under Applicable Law;

    2. any person or entity pursuant to a governmental directive or order of court; and

    3. any other person to whom disclosure is reasonably necessary in connection with the provision of the Services to you.

    Save as permitted above and under the OffGamers Privacy Policy, OffGamers will not disclose your personal information to any other party without prior notice to you.

18. • Sanctions representation. You represent, warrant, and undertake that you are not, and will not become, a person that is the subject of any sanction administered or enforced by the United Nations, Singapore, the United States, the European Union, the United Kingdom, or any other relevant authority ("Sanctions"), and that you are not located, organised, or resident in any country or territory that is itself the subject of comprehensive Sanctions.
    • Prohibited activity. You must not use the Portals or the Services in connection with any activity that would breach any Sanctions or any applicable anti-money laundering or counter-terrorism financing law, or to fund, facilitate, or conceal the proceeds of any unlawful activity.
    • OffGamers' compliance actions. OffGamers may, at its sole discretion and without any liability to you, decline, delay, freeze, block, cancel, or reverse any transaction, and suspend, freeze, or terminate your Account, where OffGamers reasonably considers it necessary or appropriate to comply with any Applicable Law, or with any requirement, rule, policy, request, or direction of any payment service provider, financial institution, card scheme, banking partner, or competent authority, relating to Sanctions, anti-money laundering, counter-terrorism financing, fraud, or financial crime. This Clause 18 applies in addition to, and does not limit, OffGamers' rights under Clause 4.

19. • No warranties. To the maximum extent permitted by Applicable Law, the Portals and the Services are provided on an "as is" and "as available" basis, and OffGamers gives no warranty, condition, or representation of any kind, whether express or implied, in relation to the Portals or the Services, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement.
    • Excluded damages. OffGamers is not liable for any indirect, incidental, special, exemplary, punitive, or consequential loss or damage, including any loss of profit, loss of data, personal injury, or property damage, arising out of or in connection with, or otherwise resulting from, any use of, or inability to access or use, the Portals or the Services, even if OffGamers has been advised of the possibility of such loss or damage.
    • Product descriptions. OffGamers uses reasonable efforts to ensure that the product descriptions on the Portals are accurate. However, OffGamers does not warrant that such descriptions are complete or accurate, and assumes no responsibility or liability for products or content produced by any third party. You should review carefully the privacy statements and other terms of use of any third party.
    • OffGamers as retailer only. OffGamers functions solely as an online retailer of digital products, including in-game currencies, game coins, and gift cards. OffGamers neither monitors nor influences the manner in which such products are used after purchase. The use, application, and any outcome arising from such products within any third-party game or platform are your sole responsibility, and OffGamers disclaims all liability arising from or related to your use of the purchased items.
    • Liability cap. The total aggregate liability of OffGamers to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with these Terms of Service, the Portals or the Services, is limited to the value of the Services provided by OffGamers to you during the three (3) months immediately preceding the date on which the relevant loss or damage is alleged first to have been suffered.

20. You must fully indemnify, defend, and hold harmless OffGamers, its related corporations, and their respective officers, directors, employees, and agents, from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising out of or in connection with: (a) your breach, contravention, or non-compliance with any provision of these Terms of Service; (b) your use or misuse of the Portals or the Services; (c) any transaction conducted through your Account; or (d) your violation of any Applicable Law or of any right of any third party.

21. • AI translation and chatbot disclaimer. To serve global users more efficiently, communications between users and OffGamers' AI agents or live agents may be processed through real-time AI translation. OffGamers' chatbot provides AI-generated responses for informational purposes only, and such responses may contain inaccuracies, omissions, or outdated information. They do not constitute professional advice and should not be relied upon as the sole basis for any decision. You are encouraged to verify any information independently before acting on it. To the maximum extent permitted by Applicable Law, OffGamers does not warrant the accuracy, completeness, or reliability of any AI-generated response or AI translation, and disclaims all liability arising from their use.
    • Automated decision-making. You acknowledge and agree that OffGamers may use automated systems, algorithms, machine-learning tools, and AI, whether alone or in conjunction with human review, to detect fraud and abuse, to conduct KYC, KYB, eKYC, screening, and due-diligence checks, to assess risk, and to make or support decisions relating to your Account, any transaction, and your access to and use of the Portals and the Services, including any decision to decline, hold, freeze, suspend, restrict, limit, close, or terminate under Clauses 4, 18, and 22. You consent to such automated processing and decision-making, and to the processing of your personal data for these purposes in accordance with Clause 16 and the OffGamers Privacy Policy. Where, and only to the extent, required by Applicable Law, you may request human review of a decision made solely by automated means by contacting OffGamers.
    • No bots or automated access. You must not access, use, or interact with the Portals or the Services, or place, attempt, or complete any transaction, through any bot, robot, spider, crawler, scraper, script, automated agent, autonomous or agentic AI tool, or any other automated or machine-operated means, whether acting on your behalf or otherwise, save with the express prior written consent of OffGamers. Without prejudice to its rights under Clauses 4, 5, and 22, OffGamers may, at its sole discretion and without any liability to you, block, refuse, cancel, void, or reverse any access, order, or transaction that it reasonably believes was made, placed, or attempted by any such means.
    • No AI training on our content. You must not use, and must not permit any third party to use, the Portals, the Services, or any content, data, listing, price, text, image, or other material made available on or through them, to train, develop, fine-tune, benchmark, or improve any AI or machine-learning model, algorithm, or system, or to compile any dataset for any such purpose, save with the express prior written consent of OffGamers.

22. • OffGamers may cancel the Services. OffGamers may cancel the Services, or any part of them, at any time without prior notice to you. After cancellation, the Services, or any part of them, may be reinstated in such manner and on such terms as OffGamers may determine at its sole discretion.
    • Automatic termination for breach. Your rights under these Terms of Service terminate automatically, without notice, if you fail to comply with any of them. OffGamers may also terminate these Terms of Service, or restrict, suspend, freeze, or cancel your use of the Services, at its sole discretion and at any time, including where OffGamers determines that your use breaches these Terms of Service, is improper, involves fraud or the misuse of the Services, or harms the interests of OffGamers or of any other user. OffGamers will notify you of any such suspension, termination, or cancellation by email or by any other form of communication.
    • General right to suspend or block access. OffGamers may at all times, for any reason, for any length of time, and on any condition it determines at its sole discretion, suspend or block access to and use of the Services or any part of them.

    Upon suspension of the Services or any part of them:

    1. all rights granted to you are immediately frozen pending investigation;

    2. all Digital Goods held under, or purchased through, your Account are frozen pending investigation;

    3. OffGamers may, at its sole discretion, decline to act on any request received from you after the effective date of suspension;

    4. OffGamers may, at its sole discretion, decline to act on any confirmation or request received from you between the date of the notice of suspension and the effective date of suspension; and

    5. OffGamers will notify you of the outcome of its investigation.

    Upon cancellation or termination of the Services or any part of them:

    1. all rights granted to you immediately terminate and revert to OffGamers;

    2. you must immediately pay to OffGamers all outstanding fees and charges due and owing;

    3. OffGamers may, at its sole discretion, decline to act on any request received from you after the effective date of termination;

    4. OffGamers may, at its sole discretion, decline to act on any confirmation or request received from you between the date of the notice of cancellation or termination and the effective date of termination; and

    5. you irrevocably and unconditionally authorise OffGamers to set off any and all moneys due and owing by you to OffGamers against any moneys payable by OffGamers to you in respect of delivered, purchased Digital Goods.

23. OffGamers is not liable for any failure or delay in performing any of its obligations under these Terms of Service to the extent that such failure or delay is caused by any event or circumstance beyond its reasonable control, including any act of God, natural disaster, epidemic or pandemic, war, terrorism, riot, civil unrest, governmental or regulatory action, strike or labour dispute, failure or interruption of any telecommunications, internet, payment, or utility service, cyber-attack, or failure of any third-party supplier, publisher, or service provider.

24. • Notices to OffGamers. All notices and documents required to be given to OffGamers must be sent by registered post to the OffGamers address listed on the Portals, and are deemed duly given when received by OffGamers.
    • Notices from OffGamers. All notices and documents required to be given by OffGamers to you may be sent by any one of the following methods: (a) electronic mail to your last known email address in OffGamers' records; (b) posting on the Portals; (c) inclusion in any written communication from OffGamers to you; or (d) placement through any media. Any notice, document, or communication given by OffGamers to you by electronic mail or any other form of communication is deemed served on, and received by, you on the day following the date of its transmission.

25. • Governing law. These Terms of Service, and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with them, their subject matter or formation, are governed by, and construed in accordance with, the laws of the Republic of Singapore.
    • Arbitration. Any dispute, controversy, or claim arising out of or in connection with these Terms of Service, including any question regarding their existence, validity, or termination, must be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the SIAC (the "SIAC Rules") for the time being in force, which rules are deemed incorporated by reference into this Clause 25. The seat of the arbitration is Singapore, the tribunal consists of one (1) arbitrator, and the language of the arbitration is English.
    • No class actions. To the maximum extent permitted by Applicable Law, all disputes must be resolved on an individual basis, and neither Party may bring or participate in any class, collective, consolidated, or representative action, or act as a representative or private attorney-general, in respect of any dispute arising out of or in connection with these Terms of Service. No arbitrator has authority to consolidate claims or to preside over any form of class or representative proceeding.
    • Court relief and cross-border compliance. Nothing in this Clause 25 prevents OffGamers from applying to any court of competent jurisdiction for interim, injunctive, or other equitable relief, or from commencing proceedings to recover any sum due and owing to it. Where required, you must obtain the approval, consent, or permission of the relevant regulatory authority before using the Services, and, in the case of any cross-border transaction, you are responsible for ensuring that you do not violate the laws of any country involved in the transaction.

26. • No waiver. No failure by OffGamers to enforce, at any time or for any period, any one or more of these Terms of Service is a waiver of them, or of the right subsequently to enforce them.
    • Severability. If any provision of these Terms of Service is declared by any judicial or other competent authority to be void, voidable, illegal, or otherwise unenforceable, OffGamers may amend that provision in such reasonable manner as achieves, as far as possible, the intention of OffGamers. In any event, if any provision of these Terms of Service is determined to be invalid or unenforceable, such invalidity or unenforceability does not affect the other provisions, which remain valid and enforceable.

27. • OffGamers may amend these Terms. OffGamers may amend these Terms of Service (and any other guidelines, procedures, specific rules, and terms and conditions for the products, services, or facilities offered) from time to time at its sole discretion, by posting the amendment on the Portals or in such other manner as OffGamers may determine at its sole discretion. OffGamers may also provide new features, upgrades, updates, patches, and other modifications to the Portals remotely, and you grant OffGamers the right to deploy and apply such variations.
    • Notice of amendments. OffGamers will notify you of any amendment through the Portals within thirty (30) days from the date of its implementation. Your continued use of the Portals and the Services constitutes your acceptance of these Terms of Service as amended from time to time.

28. You may not assign, transfer, charge, or otherwise deal with any of your rights or obligations under these Terms of Service without the prior written consent of OffGamers. OffGamers may assign, transfer, novate, or subcontract any of its rights or obligations under these Terms of Service without your consent.

29. These Terms of Service, together with the documents incorporated into them by reference, constitute the entire agreement between the Parties in relation to their subject matter and supersede all prior arrangements, understandings, representations, and communications, whether written or oral. You acknowledge that you have not relied on any statement, representation, or warranty that is not expressly set out in these Terms of Service, save that nothing in this Clause 29 limits any liability for fraud or fraudulent misrepresentation.

30. Save that OffGamers' related corporations, and the officers, directors, employees, and agents referred to in Clause 20, may enforce Clauses 19 and 20, a person who is not a Party to these Terms of Service has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any of these Terms of Service. The consent of any such third party is not required to vary, rescind, or terminate these Terms of Service.

31. These Terms of Service are binding on your heirs, personal and legal representatives, estate, successors-in-title, and permitted assigns, where applicable.

32. These Terms of Service may be made available in languages other than English for convenience only. The English-language version is the governing version and prevails in the event of any inconsistency or conflict between it and any translated version, regardless of the language of that translated version.
